Agreement to Terms
By engaging Calculus Tax, Inc. ("Calculus," "we," "our," or "us") for accounting, tax preparation, or consulting services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. Please read these terms carefully before using our services.
Services Provided
Calculus provides professional accounting and tax services, including but not limited to:
- Individual and business tax preparation and filing
- Bookkeeping and accounting services
- Payroll processing and management
- Tax planning and consulting
- IRS representation and audit support
- Business consulting services
Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information and documentation
- Respond promptly to our requests for information
- Inform us of any changes in your financial situation that may affect our services
- Review all work product for accuracy before final submission
- Pay all fees in accordance with the agreed-upon payment terms
- Maintain copies of your tax returns and supporting documentation
Fees and Payment
Fees for our services are determined based on the scope and complexity of work required. We will provide fee estimates before beginning work. Payment is due upon completion of services unless other arrangements have been made. Late payments may be subject to interest charges. We reserve the right to withhold delivery of work product until payment is received in full.
Professional Standards
Our services are provided in accordance with applicable professional standards, including those established by the IRS, state boards of accountancy, and professional accounting organizations. We adhere to strict ethical guidelines and maintain professional liability insurance.
Confidentiality
We maintain strict confidentiality of all client information in accordance with professional standards and applicable law. We will not disclose your information to third parties except as required by law, with your consent, or as necessary to provide our services.
Limitation of Liability
While we exercise professional care in providing our services, we cannot guarantee specific outcomes, particularly regarding tax savings or IRS decisions. Our liability is limited to the fees paid for the specific service in question. We are not liable for indirect, consequential, or punitive damages.
Accuracy of Information
You represent that all information provided to us is accurate and complete. You are responsible for the accuracy of your tax returns and financial statements. We rely on the information you provide and are not responsible for errors resulting from incomplete or inaccurate information.
Tax Positions and Advice
Tax advice and positions are based on current law and our professional judgment. Tax laws are subject to change and interpretation. We do not guarantee that tax positions will be sustained upon IRS examination. Clients are ultimately responsible for their tax positions and liabilities.
Termination of Services
Either party may terminate the engagement upon written notice. Upon termination, you agree to pay for all services rendered through the termination date. We will provide copies of your records upon request and payment of any outstanding fees.
Records Retention
We retain client records for a minimum of seven years in accordance with professional standards and IRS requirements. You are responsible for maintaining your own copies of tax returns and supporting documentation.
Dispute Resolution
Any disputes arising from our services will first be addressed through good-faith negotiation. If resolution cannot be reached, disputes may be subject to binding arbitration in accordance with the laws of California.
Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
Governing Law
These Terms of Service are governed by the laws of the State of California without regard to its conflict of law provisions.
